Terms of Use

1. About these Terms
These Terms of Use govern your access to and use of: • the Qide mobile application; • the Qide website; • Qide questionnaires, pulse surveys and archetype features; • Qide-generated recommendations and actions; • organisation-sponsored Qide accounts; and • related Qide services. Together, these are referred to as the "Service". The Service is provided by: QIDE LTD Company number: 17268503 Registered office: Apartment 150, Carrara Tower, 1 Bollinder Place, London, England, EC1V 2AF QIDE LTD is referred to as "Qide", "we", "us" or "our". By creating an account, accepting an invitation, purchasing a subscription or otherwise using the Service, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.
2. Other agreements
These Terms apply to individual users of Qide. If your employer or another organisation has purchased or arranged access to Qide, a separate customer agreement may exist between Qide and that organisation. That customer agreement may govern matters including: payment; data processing; workspace administration; support; security; service levels; and organisation-controlled information. If there is a conflict, the customer agreement will govern the relationship between Qide and the organisation. These Terms will continue to govern your individual use of the Service. Our Privacy Policy explains how personal information is handled and forms part of your use of Qide. If you download or use Qide through the Apple App Store, your use of the Qide iOS app is also subject to Apple's Standard End User License Agreement, available at: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. Apple's Standard End User License Agreement applies in addition to these Terms.
3. Eligibility
You must be at least 18 years old to use Qide. By using the Service, you confirm that: • you are legally able to agree to these Terms; • the information you provide is accurate; • you will use the Service only for lawful purposes; and • you are not prohibited from using the Service under applicable law.
4. What Qide provides
Qide is a workplace motivation, self-reflection and team-development tool. Features may include: motivation or archetype questionnaires; purpose, mastery and autonomy pulse surveys; psychological-safety questions; personalised explanations; identification of possible workplace blockers; recommended actions; manager and employee action plans; team-level insights; reminders and notifications; and artificial-intelligence-generated content. Features may differ depending on: your account type; subscription; organisation; country; device; app version; or participation in a trial or beta programme.
5. Qide is not a medical or emergency service
Qide does not provide: medical advice; psychological or psychiatric diagnosis; therapy; crisis support; occupational-health advice; or emergency services. Qide does not diagnose burnout, depression, anxiety or any other medical or mental-health condition. Information and recommendations in Qide are provided for general workplace reflection and development. They are not a substitute for advice from a qualified healthcare, employment, legal or other professional. If you believe you or another person is in immediate danger, contact the relevant local emergency services.
6. Qide does not make employment decisions
Qide does not employ you and does not control your relationship with your employer or organisation. Qide outputs must not be treated as verified conclusions about: personality; health; ability; performance; suitability for a role; or future potential. Qide is not intended or licensed to be the sole basis for decisions about: hiring; promotion; compensation; performance ratings; disciplinary action; redundancy; or termination of employment. Employers and managers are responsible for their own decisions, policies and compliance with employment and data-protection law. Qide is not responsible for an employment decision made independently by your employer, manager or organisation, except to the extent that responsibility cannot lawfully be excluded.
7. Accounts and authentication
You may need an account to use some or all of the Service. You agree to: provide accurate account information; keep your email account and device secure; keep passwords, magic links and authentication codes confidential; not allow another person to use your account; notify us promptly if you suspect unauthorised access; and keep your contact information current. You are responsible for activity carried out through your account where it results from your failure to take reasonable steps to keep access secure. We may require you to verify your identity or email address.
8. Organisation-sponsored accounts
An organisation may invite you to join its Qide workspace. The organisation may be able to: add or remove users; assign teams, managers or roles; manage workspace settings; view participation or completion status; receive actions you intentionally share; view team-level or aggregated information; and view individual-level information where Qide clearly tells you before submission that the information will be shared. Your access to an organisation-sponsored workspace may end if: the organisation removes you; your employment or engagement ends; the organisation's agreement with Qide ends; the trial expires; or the workspace is suspended or closed. Qide is not responsible for an organisation's decision to grant or remove access. Where possible, Qide will explain whether information is private, shared or aggregated. You must review any visibility notice displayed before submitting information.
9. Your content
"Your Content" means information you enter, upload or submit through Qide, including responses, comments, actions, goals and feedback. You retain any rights you have in Your Content. You give Qide a limited, non-exclusive licence to host, copy, process, transmit, display and otherwise use Your Content only as reasonably necessary to: provide the Service; generate requested outputs; maintain security; provide support; comply with law; and exercise our rights under these Terms. This licence ends when Your Content is deleted, except where information must legally be retained, has been validly shared with an organisation or has been irreversibly anonymised. You confirm that: you have the right to submit Your Content; Your Content does not unlawfully infringe another person's rights; you will not submit confidential information you are not authorised to disclose; and you will not submit unnecessary medical or highly sensitive information about another person.
10. Private and shared information
Not every part of Qide has the same visibility. Unless the relevant screen says otherwise, or you actively choose to share information, personal questionnaire answers and private reflections are intended to remain private from your manager and organisation. Some features are specifically intended to share information, such as: agreed actions; manager requests; team exercises; feedback you choose to send; or organisation-configured surveys that are clearly identified as shared. Before submitting information, you are responsible for reviewing any notice explaining who can see it. Limited authorised Qide personnel and suppliers may access information where necessary to operate, protect or support the Service.
11. Artificial intelligence and automated outputs
Some Qide content may be generated or assisted by automated systems or artificial intelligence. Automated outputs may: misunderstand information; omit important context; contain errors; repeat generic advice; produce unsuitable recommendations; or differ from the view of a qualified professional. You must use reasonable judgement when acting on an output. Managers and organisations must independently review Qide outputs before taking action and must not treat them as objective facts about an individual. You may report an inaccurate, inappropriate or potentially harmful output to support@qide.me.
12. Acceptable use
You may use Qide only for its intended personal and workplace-development purposes. You must not: • use Qide unlawfully or fraudulently; • impersonate another person; • access another user's account without permission; • attempt to discover private survey responses; • circumvent access controls or aggregation safeguards; • scrape, harvest or automatically extract information; • probe, scan or test the security of the Service without written permission; • introduce malware or harmful code; • interfere with the Service or other users; • reverse engineer, decompile or disassemble the Service except where law expressly permits it; • copy or commercially exploit Qide's questionnaires, methodology or content without permission; • use Qide to harass, discriminate against or unlawfully monitor another person; • use Qide as the sole basis for a significant employment decision; • upload unlawful, defamatory, threatening or infringing content; • submit another person's sensitive information without proper authority; or • use the Service to develop or train a competing product using Qide's protected content or outputs. We may investigate suspected misuse and take reasonable protective action.
13. Intellectual property
Qide and its licensors own all rights in the Service, including: software; design; branding; trademarks; questionnaires; scoring systems; archetype frameworks; graphics; text; recommendation libraries; databases; and underlying technology. Subject to these Terms, Qide grants you a limited, personal, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose. No ownership rights are transferred to you. You may not use Qide's name, logo or branding without prior written permission.
14. Feedback
You may provide suggestions, ideas or feedback about Qide. You agree that Qide may use general feedback to improve the Service without payment or restriction, provided that we do not publicly identify you or disclose confidential personal information without permission. This does not transfer ownership of your private survey responses or personal content to Qide.
15. Free features, trials and beta services
Qide may provide free features, trials, preview features or beta services. We may: set eligibility conditions; limit the duration or number of users; change or withdraw a trial; reset test data; introduce charges after giving notice; or require migration to a generally available version. We will display the relevant terms before a free trial converts into a paid subscription. Beta features may be less reliable and may change without notice.
16. Paid subscriptions
Some features may require payment. The price, billing interval, included features, trial period and renewal terms will be shown before purchase. Unless stated otherwise, subscriptions automatically renew for the same billing period until cancelled. You authorise the relevant app store or payment provider to charge the applicable fee and taxes. Cancelling a subscription: You can cancel through the app store or payment provider used to make the purchase. Deleting the Qide app or deleting your Qide account does not necessarily cancel an active app-store subscription. You must also cancel the subscription through the relevant app-store settings. Cancellation normally takes effect at the end of the current paid billing period unless applicable law or the payment provider's rules provide otherwise. Refunds: Where a purchase is processed by Apple, Google or another payment provider, refund requests may need to be submitted to that provider. Nothing in these Terms limits any statutory refund, cancellation or consumer rights that apply to you. Price changes: We may change subscription prices. Where required, we will give reasonable notice before a price change applies to a renewal. You may cancel before the new price takes effect.
17. Notifications
Qide may send service notifications, reminders and invitations. You can manage push notifications through the app or your device settings. Some account, security or legal communications cannot be disabled while you maintain an account.
18. Third-party services
The Service may use or link to third-party services, including app stores, authentication providers and external websites. Your use of a third-party service may be subject to separate terms. Qide is not responsible for an independent third-party service, content or decision, except where applicable law provides otherwise.
19. Apple App Store and Google Play
If you download Qide through an app store, you must comply with that store's applicable terms. The app-store provider is not a party to these Terms and is not responsible for operating or supporting Qide. Qide, rather than Apple or Google, is responsible for: maintaining the Service; providing support; addressing valid claims relating to the Service; and responding to intellectual-property claims relating to Qide. Where Qide is downloaded from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the relevant app-licence provisions after you accept them. App-store terms may separately govern payment, cancellation and refunds.
20. Availability and changes to the Service
We aim to provide the Service with reasonable care and skill. However, we do not guarantee that Qide will: always be available; be uninterrupted or error-free; produce a particular outcome; prevent burnout; improve performance; be compatible with every device; or retain every feature permanently. We may change the Service to: improve functionality; address security or legal issues; add or remove features; update artificial-intelligence providers; maintain compatibility; or respond to user feedback. We will give reasonable notice where a change materially reduces a paid feature, unless an immediate change is needed for security, legal or technical reasons.
21. Suspension and termination
You may stop using Qide at any time. You may delete your account through the app or submit a deletion request as explained in the Privacy Policy. We may restrict or suspend access where reasonably necessary because: you materially breach these Terms; your use creates a security or legal risk; we suspect fraud or unauthorised access; payment is overdue; your organisation removes your access; the organisation's agreement ends; we are required to do so by law; or the Service is being discontinued. Where reasonably possible, we will provide notice and an opportunity to remedy a breach. We may act immediately where necessary to protect users, information, systems or legal rights. Terms that by their nature should continue after termination will survive, including provisions relating to intellectual property, liability and disputes.
22. Your statutory rights
Nothing in these Terms excludes or limits rights that cannot legally be excluded. If you are a consumer, the Service must be provided with the standard required by applicable consumer law. You may have legal remedies where paid digital content or services are faulty, not as described or not provided with reasonable care and skill.
23. Our responsibility to you
We are responsible for loss or damage that is a foreseeable result of: our breach of these Terms; or our failure to use reasonable care and skill. We are not responsible for loss or damage that was not reasonably foreseeable when you agreed to these Terms. If you use Qide as a consumer, we are not responsible for business losses, including loss of profit, revenue, business opportunity or business interruption. Qide is not responsible for: inaccurate information submitted by you or another user; actions taken independently by your employer or organisation; a manager's interpretation or misuse of an output; third-party services outside Qide's control; loss caused by your failure to secure your account; or events outside our reasonable control, except where and to the extent that responsibility cannot legally be excluded. Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; deliberate misconduct; or any other liability that cannot lawfully be excluded. Where an organisation has entered into a customer agreement with Qide, Qide's commercial liability to that organisation is governed by that agreement.
24. Changes to these Terms
We may update these Terms to reflect changes to: the Service; the law; security requirements; our commercial model; or how Qide operates. We will update the date at the top. Where a change materially affects your rights or paid use of the Service, we will provide reasonable notice before it takes effect, unless an immediate change is required for legal or security reasons. If you do not agree to a material change, you may stop using the Service and cancel any subscription.
25. Governing law and disputes
These Terms are governed by the laws of England and Wales. If you are a consumer, this choice does not remove mandatory consumer protections available under the laws of the country where you live. If you live in England or Wales, the courts of England and Wales may resolve disputes. If you live in Scotland or Northern Ireland, you may bring proceedings in the courts of the part of the United Kingdom where you live. Consumers living elsewhere may have the right to bring proceedings in their local courts under applicable law. Before starting formal proceedings, you and Qide should attempt to resolve the dispute by contacting support@qide.me.
26. General provisions
If a court finds part of these Terms invalid or unenforceable, the remaining provisions will continue to apply. A delay by Qide in enforcing a right does not waive that right. You may not transfer your account or rights under these Terms to another person. Qide may transfer its rights and obligations as part of a merger, restructuring, financing or sale of the business, provided that doing so does not reduce your mandatory rights. These Terms, together with the Privacy Policy and any purchase terms displayed to you, form the agreement between you and Qide regarding your individual use of the Service.
